Clauses inserted in several contracts’ types entitle one of the parties to claim for termination or renegotiation of the contract when “material adverse changes” they have agreed on do take place. This paper assesses the possible problems raised by their inclusion in agreements governed by European civil law and its interpretation principles. In such assessment we point out certain issues of MAC Clauses close to some national institutions and to principles of European Law and of UNIDROIT.
